License terms
What you may do with the application Karibu Online builds for you.
1. What these terms apply to
These terms apply to applications that Karibu Online B.V. builds for a client, where the agreement refers to them. If the agreement says otherwise, the agreement prevails.
These terms do not cover the use of this website. That is covered by the terms of service.
2. Definitions
- Application: the software Karibu Online builds for the client, as described in the agreement.
- Generated code: the code Fractal Forge creates from a model, including the related tests and configuration.
- Custom code: the code written by hand specifically for the client, such as its own business logic.
- Fractal Forge: the Karibu Online platform used to generate applications, including Fractal Studio.
3. Custom code
The custom code is the property of the client. Karibu Online makes it specifically for the client and transfers the rights to it to the client. The client may freely use and modify the custom code, and may also use it outside the application.
A custom request sometimes requires a change to Fractal Forge itself. Such a change is not custom code, see article 6.
4. Generated code
The client receives the right to use, modify and further develop the generated code for the application it was made for. Other developers may do this too, as long as they do so for the client and for this application. This right continues after the collaboration with Karibu Online ends.
If the client is acquired, this right passes to the acquiring party, under the same terms.
Without written permission, the client may not:
- use the generated code for another application;
- sell or license it, or otherwise make it available to third parties, other than developers working for the client or an acquiring party;
- use it to recreate Fractal Forge or a similar generator.
5. Own control or managed
The code and the application can be under the client's own control. If the client has no GitHub or hosting, Karibu Online also offers the application as a managed service.
For a managed application, the client can have the code handed over on request. These terms continue to apply.
6. Fractal Forge and Fractal Studio
Fractal Forge remains the property of Karibu Online. These terms grant no rights to the platform itself. This also applies to changes to Fractal Forge that are needed to solve a client's custom request. Code that Fractal Forge then generates is generated code.
The application runs on its own, without a license check. Only regenerating from the model requires Fractal Studio.
7. Third-party software
An application may include open source software and other third-party components. Those components are subject to their own licenses.
8. Changes
Karibu Online may change these terms. A new version applies to agreements concluded afterwards, unless the client and Karibu Online agree otherwise.
9. Governing law and contact
These terms are governed by Dutch law. Disputes are submitted to the competent court in the Netherlands. The Dutch version of these terms prevails.
Questions about these terms can be sent to info@karibu.online.
